Terms of Service

These Terms of Service govern your use of Carevonix's website and services. Please read them carefully before using our platform or engaging our team.

01.Acceptance of Terms

By accessing or using the Carevonix website, platform, or services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms apply to all visitors, users, and clients of Carevonix, Inc. ("Carevonix", "we", "our", or "us"). For practices that have entered into a separate Service Agreement, that agreement governs your use of Carevonix's operational services and supplements these Terms.

02.Description of Services

Carevonix provides fully managed remote front desk and revenue cycle management services for healthcare practices, including: • Inbound and outbound patient call handling • Appointment scheduling and patient intake • Medical billing, claims submission, and follow-up • Insurance eligibility verification and prior authorization support • AR management and denial management The specific scope of services for each practice is defined in the individual Service Agreement signed at the time of onboarding.

03.Eligibility and Account Responsibility

You must be at least 18 years of age and authorized to bind your practice or organization to use our Services. By creating an account or signing a Service Agreement, you represent that you have the authority to do so. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us immediately at support@carevonix.io if you suspect unauthorized access to your account.

04.HIPAA and Healthcare Compliance

Carevonix operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). We execute a Business Associate Agreement (BAA) with each practice client prior to accessing or handling any protected health information (PHI). You, as a Covered Entity, are responsible for ensuring your practice's HIPAA compliance. Carevonix will support your compliance obligations within the scope defined in our BAA, but cannot guarantee your overall HIPAA compliance. You agree not to transmit PHI to Carevonix through unsecured channels not designated in our operational agreement.

05.Fees and Payment

Service fees are described in your individual Service Agreement. All fees are invoiced monthly and due within 15 days of invoice unless otherwise specified. Late payments may incur a 1.5% monthly late fee. Carevonix reserves the right to suspend service for accounts more than 30 days past due, with 7 days' written notice. All fees are exclusive of applicable taxes, which you are responsible for paying. We reserve the right to adjust pricing with 60 days' written notice for ongoing service agreements.

06.Intellectual Property

All content on the Carevonix website and platform, including text, graphics, logos, and software, is the property of Carevonix, Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission. Any materials, data, or reports we generate specifically for your practice remain confidential but Carevonix retains the right to use de-identified, aggregated data for improving our services and for benchmarking purposes, consistent with our Privacy Policy and BAA.

07.Limitation of Liability

To the maximum extent permitted by law, Carevonix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our Services, including lost revenue, lost profits, or loss of data. Carevonix's total cumulative liability for any claim arising from or relating to these Terms or our Services shall not exceed the total fees paid by you to Carevonix in the three months preceding the claim. Some jurisdictions do not allow limitation of certain damages, so some of the above may not apply to you.

08.Indemnification

You agree to defend, indemnify, and hold harmless Carevonix and its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) your practice's failure to comply with applicable healthcare regulations.

09.Termination

Either party may terminate a Service Agreement with 30 days' written notice. Carevonix may terminate immediately for material breach, non-payment, or conduct that puts patient safety or data security at risk. Upon termination, your access to Carevonix services will cease, and we will provide you with any practice data we hold in a standard exportable format within 30 days of termination. Data deletion will follow our retention policy and any applicable regulatory requirements.

10.Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules. Class action waivers apply: you agree to resolve disputes individually, not as part of a class or representative action. For disputes involving amounts under $10,000, either party may bring a claim in small claims court instead of arbitration.

11.Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email to account holders with at least 30 days' notice. Continued use of our Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to revised Terms, you may terminate your Service Agreement per the termination provisions above.
